QUOTATIONS |

The client accepts that firm quotations can be given only against documents seen in their entirety by HB. Quotations given against material not seen or seen only in part are provisional and are subject to written confirmation by HB on sight of the material in full. |

Work will not commence on any commission until written instructions to proceed, in accordance with HB’s proposed terms, have been received. |

Where long assignments are commissioned, HB may agree provisional lower and upper limits for the fee on sight of the work in full and then, at a mutually agreed time during execution of the assignment, HB will negotiate an adjustment, if necessary, of the previously agreed fee limits. Further work on the assignment will not commence until the client has confirmed in writing that the adjustment of the fee has been fully accepted. Administration charges are included in quotations. |

Work undertaken at short notice or over weekends or which has to be completed during the night will be charged for at a higher rate. |
ACCURACY |
1 |
HB undertakes to make all reasonable efforts to produce clear and accurate work in accordance with the client's instructions, which must be given in writing prior to commencement of the work. The client accepts that HB undertakes to provide work of a topical standard using the best literature and other sources available to her. HB accepts no liability for the omission of material to which she has no reasonable access. |

Every endeavour is made to avoid errors. No responsibility is accepted for any errors, ambiguity or lack of clarity or the consequences of any errors, ambiguity or lack of clarity in the original material supplied. No
liability is accepted for any shortcomings caused by work done quickly owing to
inadequate budget or time constraints. |
CANCELLATION |
1 |
Should an assignment be cancelled once the work has commenced, the client shall pay HB in full for that proportion of work already completed, plus a cancellation fee of 50% of the remainder of the job. |

While every effort is made to carry out contracts, no responsibility is taken for variation or cancellation owing to acts of God or any other cause beyond personal control. HB or, in the event of her absence, a party acting on her behalf will notify the client as soon as possible by the most expeditious means available to explain the circumstances, and if the client then wishes to terminate the agreement, the client may do so, provided that HB is paid in full at the agreed rate for any work already completed. In goodwill, HB or the party acting on her behalf may assist the client to locate an alternative source of labour to enable the assignment to be completed, but cannot guarantee that such a source will be found. |
TERMINATION |
1 |
HB reserves the right to refuse or terminate an assignment for any reason. HB reserves the right to terminate an assignment without further notice if it or any part of it appears to contain any defamatory matter, breach any contract or moral rights or duty of confidence or constitute contempt of court or breach any provision of any statute or any regulations made thereunder. |

HB reserves the right to terminate an assignment without further notice if it is delivered late to her and the deadline is not appropriately extended by the client. |
3 |
HB reserves the right to refuse to accept or to terminate with immediate effect an assignment if its completion would involve the illegal copying of software programs. |
PAYMENT TERMS |
1 |
The client agrees to pay HB in full for her work. Settlement terms are strictly 30 days net of invoice date. The client accepts that, in the event of late or non-payment, HB may refer the matter to a debt collection agency and/or start legal proceedings. |
COPYRIGHT & INDEMNIFICATION |
1 |
HB owns the copyright to all material originated by HB, and no duplication of it in any form shall be undertaken without her written permission. |
2 |
The client accepts that HB shall be credited with a by-line in a place of prominence in all publications or broadcasts carrying work originated by her, unless otherwise agreed in writing or by e-mail. |
3 |
Work by HB is performed and delivered on the clear understanding that HB is fully indemnified by the commissioner in respect of any litigation arising out of the work done. |
SOFTWARE |
1 |
The client shall submit on-screen work to HB by post or electronic mail or on uncontaminated USB sticks/CDs. |
2 |
HB will pack disks/sticks as securely as possible, but carries no responsibility for corruption of, damage to, theft or loss of these while in transit. |
3 |
HB will retain a back-up copy of all work carried out on screen for a period of a year in case of queries. At the end of the year, any such files will be deleted. |
DATA PROTECTION |
1 |
HB will keep a record of clients’ e-mail and postal addresses, because in order to fulfil contractual obligations to HMRC HB needs these and needs to store them for seven tax years. If a client wants this data to be removed from HB’s invoice and e-mail records after those seven years, they should e-mail to request this. |

Clients are requested to confirm that they agree to these Terms and Conditions and to HB keeping their e-mail and postal address for the reason given above. |
3 |
HB will keep all work confidential, unless the client gives her permission to do otherwise. |
ADDITIONAL COSTS |
1 |
Courier and postal charges are payable in full by the client and will be itemised on the final invoice. |
